1. Agreement to Terms

By accessing and using MSP4US services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and MSP4US ("we," "us," or "our").

2. Description of Services

MSP4US provides managed IT services for families and seniors, including:

  • Remote device monitoring and management
  • Security software monitoring
  • System update management
  • Technical support via ticketing system
  • Remote assistance (with your approval)
  • Performance monitoring and optimization

Services are provided on a subscription basis with plans detailed on our pricing page.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to use our Services. By registering, you represent that you meet this requirement.

3.2 Account Information

You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of unauthorized account access
  • Accept responsibility for all activities under your account

3.3 One Account Per Customer

Each customer may maintain one active account. Multiple accounts by the same person are prohibited.

4. Subscription and Billing

4.1 Subscription Plans

We offer monthly subscription plans with different device limits:

  • Basic Plan: $9.99/month - 1 device
  • Standard Plan: $19.99/month - Up to 3 devices
  • Pro Plan: $29.99/month - 5-10 devices

Prices are subject to change with 30 days' notice.

4.2 Billing

Subscriptions are billed monthly on the date you sign up. You authorize us to charge your payment method for all fees owed.

4.3 Payment Methods

We accept major credit cards processed securely through Stripe. You must provide valid payment information.

4.4 Failed Payments

If payment fails:

  • We'll attempt to charge your card up to 3 times
  • You'll receive email notifications
  • Services may be suspended after 7 days
  • Account may be terminated after 30 days

4.5 Refund Policy

30-Day Money-Back Guarantee: Cancel within 30 days of signup for a full refund, no questions asked.

After 30 days, subscriptions are non-refundable. You'll retain access until the end of your current billing period.

4.6 Cancellation

You may cancel anytime from your account dashboard. Cancellation takes effect at the end of your current billing period. No partial refunds for unused time.

5. Service Requirements

5.1 Supported Devices

Our monitoring software supports:

  • Windows 10 and Windows 11
  • macOS 11 (Big Sur) and newer

Older operating systems are not supported.

5.2 Internet Connection

A stable internet connection is required for:

  • Monitoring software to function
  • Remote support sessions
  • Software updates

5.3 Software Installation

You must:

  • Install our monitoring software on enrolled devices
  • Keep the software running
  • Allow necessary permissions
  • Not tamper with or modify the software

5.4 Device Limits

Your plan includes a specific number of devices. Exceeding this limit requires upgrading to a higher plan.

6. Customer Responsibilities

You are responsible for:

  • Backing up your important data regularly
  • Maintaining antivirus software (we monitor but don't provide antivirus)
  • Following security best practices
  • Providing accurate information when requesting support
  • Responding to our communications in a timely manner
  • Complying with our Acceptable Use Policy

Data Backup: While we monitor your devices, we are NOT a backup service. You must maintain your own backups of important data.

7. Our Responsibilities and Service Levels

7.1 Service Availability

We strive for 99.9% uptime for our monitoring services, excluding scheduled maintenance.

7.2 Support Response Times

We aim to:

  • Acknowledge support tickets within 2 hours during business hours
  • Resolve most issues within 24 hours
  • Provide urgent support on a best-effort basis

Business Hours: Monday-Friday 8am-6pm EST, Saturday 9am-3pm EST

7.3 What We Don't Guarantee

We cannot guarantee:

  • Prevention of all malware or security incidents
  • Zero downtime
  • Compatibility with all software
  • Recovery of lost or corrupted data
  • Resolution of all technical issues

8. Limitation of Liability

IMPORTANT - PLEASE READ CAREFULLY:

8.1 Service "As Is"

Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

8.2 Limitation of Damages

To the maximum extent permitted by law:

  • Our total liability is limited to the amount you paid in the last 12 months
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for data loss, business interruption, or lost profits
  • We are not responsible for third-party services (Action1, Freshdesk, Stripe)

8.3 Data Loss

We are not responsible for:

  • Data loss due to malware, hardware failure, or user error
  • Corruption or loss during software updates
  • Inability to recover lost data

You must maintain your own backups.

8.4 Security Incidents

While we monitor for security threats, we cannot prevent all incidents. You acknowledge that:

  • No security system is 100% effective
  • You may still experience malware infections
  • We are not liable for damages from security breaches

9. Acceptable Use

You agree NOT to:

  • Use Services for illegal purposes
  • Violate any laws or regulations
  • Distribute malware or engage in hacking
  • Attempt to bypass security measures
  • Abuse or harass our support staff
  • Share your account credentials
  • Reverse engineer our software

9.1 Consequences of Violations

Violation may result in:

  • Warning
  • Temporary suspension
  • Immediate termination without refund
  • Legal action if applicable

10. Termination

10.1 By You

You may terminate anytime by canceling your subscription through your account dashboard.

10.2 By Us

We may terminate or suspend your account:

  • For violation of these Terms
  • For abusive behavior toward staff
  • For fraudulent payment information
  • For excessive support resource usage
  • If required by law

10.3 Effect of Termination

Upon termination:

  • Your access to Services ends immediately
  • Monitoring software stops functioning
  • Your data is deleted within 30 days
  • No refunds for unused time (except 30-day guarantee)

11. Intellectual Property

11.1 Our Property

All content, software, logos, and trademarks are owned by MSP4US or our licensors. You may not:

  • Copy or redistribute our software
  • Use our trademarks without permission
  • Reverse engineer our systems
  • Create derivative works

11.2 Your Data

You retain ownership of your data. By using our Services, you grant us permission to:

  • Store and process your data to provide Services
  • Use aggregated, anonymized data for service improvement

12. Privacy and Data Protection

Your privacy is important. Our collection and use of personal information is governed by our Privacy Policy.

Key points:

  • We only collect technical data needed for service delivery
  • We never access your personal files
  • We use encryption and security best practices
  • You can request data deletion at any time

13. Changes to Terms

We may modify these Terms at any time. Changes will be effective:

  • Immediately for new users
  • 30 days after notice for existing users

We'll notify you of significant changes via:

  • Email to your registered address
  • Notice in your customer portal
  • Banner on our website

Continued use after changes constitutes acceptance.

14. Dispute Resolution

14.1 Informal Resolution

If you have a dispute, contact us first at [email protected]. We'll work to resolve it informally.

14.2 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than court, except:

  • Small claims court matters
  • Intellectual property disputes
  • Emergency injunctive relief

14.3 Class Action Waiver

You agree to resolve disputes individually, not as a class action or consolidated proceeding.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of Florida, United States, without regard to conflict of law principles.

15.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.

15.3 No Waiver

Our failure to enforce any right doesn't waive that right.

15.4 Force Majeure

We're not liable for delays or failures due to circumstances beyond our control (natural disasters, power outages, internet failures, etc.).

15.5 Assignment

You may not transfer your account. We may transfer our rights and obligations without notice.

15.6 Entire Agreement

These Terms, along with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between us.
